Cross border lending, including through syndicated bank loans and bond offerings, will be examined in the context of Latin American infrastructure financing. After review of Latin American commercial and administrative legal frameworks, students will analyze, negotiate and draft international infrastructure development and financing documentation with attention to corporate structuring, handling business brokers, joint venturing, public and private aspects of concession contracts, perfection of security interests, turnkey contracts, ethical concerns, and international dispute resolution, all from the perspective of obtaining bank and capital markets financing.
