Prerequisites: Law 220. Federal Income Taxation and Law 230. Business Associations.

This course will take students through the life cycle of a start-up company, from the concept stage through a later stage (pre-ipo or other exit) round of financing.

The course will provide students with the analytical tools needed for evaluating the form of entity appropriate for the start-up company. Students will review a business plan, analyze issues that new ventures are likely to face, and negotiate the terms of an early round of financing.
