Prerequisite: Law 230. Business Associations.
This seminar provides an in-depth study of some of the principal issues involved in creating and maintaining an appropriate governance system for the modern publicly held corporation. Topics to be explored include Sarbanes-Oxley and related regulations, auditor and director independence, internal controls and corporate investigations, the role of institutional shareholders and shareholder services organizations, among others. Seminar participants are expected to complete a paper of publishable quality in satisfaction of the writing requirement, present their research to the seminar, and comment on the research of other participants.
