LAW 230 - Business Associations

This course provides a survey of the legal rules and concepts applicable to the basic forms of business associations. It will begin the foundational principles of agency law and briefly cover sole proprietorships, general partnerships, limited partnerships, and limited liability companies. The primary concentration is on the law of corporations, both public and closely held, with emphasis on the Delaware General Corporations Law. The class will be a combination of lecture and panel student discussions and will cover both policy concerns and black letter law. The exam will be open book.

Business Associations Section 3 (fall 2016) with Professor Kim must be taken concurrently with Federal Income Tax Section 3 with Professor Bank.  Business Associations will meet 8/22/2016 - 10/20/2016 (approximately the first 9 weeks of the term) and Federal Income Tax will meet 10/24/2016 - 11/21/2016 (approximately the last 4 weeks of the term). LLM students who enroll in one of these courses must enroll in the other.  Students who enroll in only one of these courses will be automatically dropped from the other.  Students who do not wish to take both courses in this sequence should enroll in a different section of Business Associations or Federal Income Tax.
