This seminar and workshop allows students to explore topics introduced in the basic corporate law and securities regulation classes in greater depth. We will read and discuss articles (including from law reviews) and legal materials (such as cases). Students will write a research paper on a corporate or securities law subject of their choice. The content of the class will change from semester to semester, but we will typically cover 5 or 6 topics relating to corporate and securities law. Some possible topics might include insider trading, activist investors, M&A litigation, derivatives regulation, and high-frequency trading.
